Labuan Regulatory Protocol

Comprehensive governance, risk disclosure, AML/CFT/CPF compliance, Shariah governance and digital asset terms for the DIGITEX - BETA I ecosystem.

01 Regulatory Notice

The platform provides digital asset infrastructure, tokenized securities technology, tokenized sukuk services, blockchain applications, custody integration and related technology services. Access to any product or service may be subject to regulatory approval, licensing, exemptions, investor classification, jurisdictional restrictions and internal compliance review.

No Public Offer

Nothing on this platform shall be treated as an offer, solicitation, invitation, recommendation or financial advice in any jurisdiction where such activity is restricted or prohibited.

Regulatory Status

Products, issuances, services and platform features may be made available only after the required approval, registration, exemption or regulatory clearance has been obtained.

02 Eligibility & Client Classification

Users must be at least 18 years old and must have full legal capacity to enter into binding agreements. Certain products may be restricted to eligible, sophisticated, professional, accredited or institutional investors only.

03 Account Opening & Verification

All users must complete the required onboarding, identity verification, suitability assessment and compliance screening before accessing deposit, withdrawal, subscription, trading or transfer functions.

Individual Verification

Users may be required to provide identification documents, proof of address, tax information, source of funds and source of wealth declarations.

Corporate Verification

Corporate users may be required to provide incorporation documents, board resolutions, ownership structure, authorised signatories and beneficial ownership information.

04 AML/CFT/CPF Compliance

The platform maintains controls for Anti-Money Laundering, Counter Financing of Terrorism, Counter-Proliferation Financing and Targeted Financial Sanctions. The platform may conduct screening, transaction monitoring, enhanced due diligence and regulatory reporting where required.

The platform reserves the right to delay, reject, freeze, suspend or report any transaction or account where required by law, regulation, court order, regulator instruction or internal compliance requirements.

05 Investor Suitability Assessment

Users are responsible for assessing their own investment objectives, financial position, investment knowledge, risk tolerance and liquidity needs. The platform does not provide personal investment, legal, tax, accounting or Shariah advice.

Risk Profile

Users must understand that digital assets and tokenized instruments may be volatile, illiquid and unsuitable for certain investors.

06 Digital Assets & Tokenized Instruments

Products may include digital assets, security tokens, utility tokens, asset-backed tokens, tokenized securities, tokenized sukuk, real-world asset tokens and blockchain-based financial instruments.

07 BitSukuk & Tokenized Sukuk Services

BitSukuk may facilitate the structuring, issuance, subscription, administration, lifecycle management, reporting and transfer of tokenized sukuk or Shariah-compliant digital instruments, subject to applicable approvals and documentation.

Supported Structures

Structures may include Ijarah, Wakalah, Murabahah, Musharakah, Istisna or hybrid Shariah-compliant arrangements.

Underlying Asset Risk

Returns depend on asset performance, project execution, cashflow generation, counterparty obligations and market conditions. No return is guaranteed.

08 Shariah Governance

Where a product is described as Shariah-compliant, such classification is based on review by appointed Shariah advisers, Shariah committee, Shariah Supervisory Board or qualified scholars.

  • Shariah review and approval before offering
  • Ongoing Shariah monitoring where applicable
  • Fatwa, certificate or Shariah opinion verification
  • Rectification process for Shariah non-compliance events
  • Recognition that scholarly differences may exist

Future Shariah review may require amendment, restructuring, suspension, purification or reclassification of a product.

09 Custody & Wallet Services

Digital assets may be held through wallet infrastructure, qualified custodians, trustee arrangements, multi-signature controls, cold storage or other custody models depending on the product and applicable rules.

  • Users must protect passwords, private keys and seed phrases
  • Loss of credentials may result in permanent loss of access
  • Transfers to incorrect wallet addresses may be irreversible
  • Custodian or third-party service failure may affect access
  • Withdrawals may be subject to compliance review

10 Risk Disclosure Statement

Participation in digital assets, tokenized securities, tokenized sukuk and blockchain-based instruments involves substantial risk. Users may lose part or all of their invested capital.

11 Market Conduct & Prohibited Activities

Users must not engage in any activity that compromises market integrity, system security, regulatory compliance or the reputation of the platform.

12 Fees, Charges & Expenses

Users agree to pay all applicable fees, charges, commissions, spreads, network fees, custody fees, administration fees, trustee fees, issuer fees and other charges disclosed by the platform or offering documents.

Fee Disclosure

Fees may vary depending on product type, transaction size, network cost, custody arrangement, issuer requirement and regulatory cost.

No Hidden Guarantee

Fees paid to the platform do not guarantee subscription success, liquidity, profit, listing, redemption or investment performance.

13 Privacy & Data Protection

The platform may collect, process, store, disclose and retain personal data for onboarding, compliance, transaction processing, regulatory reporting, audit, fraud prevention, cybersecurity and service delivery purposes.

14 FATCA, CRS & Tax Declarations

Users may be required to provide tax residency declarations, Tax Identification Numbers, FATCA and CRS self-certifications and supporting documentation.

Users are solely responsible for understanding and complying with their own tax obligations in their relevant jurisdictions.

15 Suspension, Freezing & Termination

The platform may suspend, restrict, freeze, terminate or close an account where required by law, regulation, court order, regulator instruction, sanctions screening, security event or internal compliance policy.

16 Complaints Handling

Users may submit complaints to the compliance or legal department. The platform will assess complaints fairly and provide a response within a reasonable period, subject to the complexity of the matter.

Complaints may be submitted through the official contact channel or support form published on the platform.

Review Timeline

The platform will seek to acknowledge and review complaints within a reasonable timeframe, usually 7 to 14 business days where practical.

17 Liability & Indemnification

To the fullest extent permitted by applicable law, the platform, its affiliates, officers, directors, partners, employees, advisers, contractors and service providers shall not be liable for indirect, incidental, special, punitive or consequential losses.

18 Governing Law & Dispute Resolution

These Terms shall be governed by the laws of Labuan, Malaysia and applicable federal laws of Malaysia. Parties shall first attempt to resolve disputes through good-faith negotiation.

Where a dispute cannot be resolved amicably, it may be referred to arbitration under the AIAC Arbitration Rules, with the seat of arbitration in Labuan, Malaysia, unless otherwise required by applicable law or regulatory direction.
